Adaptec Announces Acquisition Charges



Milpitas, Calif, - September 19, 1995 - Adaptec (NASDAQ:ADPT), announced

today that it has completed its preliminary evaluation of the allocation of

the purchase price to the assets acquired for its three recently announced

acquisitions: Trillium Research, Inc., Future Domain Corporation and Incat

Systems Software USA, Inc. Under the purchase accounting method, a one-time

charge to earnings of approximately $0.55 - $0.60 will be recorded during

the Company's second fiscal quarter, ending September 29, 1995, for the

in-process research and development acquired.
