Adaptec Completes Acquisition of Incat Systems





Milpitas, Calif., - August 23, 1995 - Adaptec (NASDAQ:ADPT), announced today


that it has completed its acquisition of Incat Systems Software USA, Inc.


which was previously announced on July 26, 1995. The transaction was


completed for 385,078 shares of Adaptec common stock and future financial


consideration contingent upon certain performance criteria. Incat Systems,


a privately held company founded in 1983 and located in Campbell, Calif.,


develops and markets application and I/O software for recordable CD


peripherals (CD-R).
