Nothing on any Digital Web Site shall be construed as conferring any license under any of Digital’s or any third party’s intellectual property rights, whether by estoppel, implication or otherwise. Digital provides Software under several types of licenses. Each license is subject to the following license terms: 1. Grant of License A license is granted at the time of acceptance of an order for a license or an order for Equipment or Service which includes a license. A license is personal and non- exclusive. A license grants the right to use the version of Software current at the time of the grant. No license is granted by the mere distribution of Software. 2. Use Rights and Limitations Customer may execute and access Software subject to the use rights and limitations of the type of license granted. Use rights and limitations are defined in the applicable Software License Description or Service Description. They include the use and users authorized, the hardware platforms, processors, and operations systems on which use is authorized, any limits on the duration of use, and in certain cases, special conditions. Customer may load, install, enable, copy, transmit and modify Software only as necessary to exercise its rights to execute and access Software. Customer may not modify or make inoperable authorization keys or license control utilities. Customer may make backup or archival copies of Software and use Software on a backup processor temporarily in the event of a processor malfunction. 3. Title, Disclosure and Notices Software contains proprietary technology of Digital or third parties. No ownership in, or title to, Software is transferred to Customer. Customer may not disclose or make available Software to any other party or permit others to use it except Customer’s employees and agents who use it on Customer’s behalf and who have agreed to these license terms. Any full or partial copy of Software must include all copyright and other proprietary notices which appear on or in the Software. 4. License Transfer Customer may not transfer, sublicense or assign a license to another party except in accordance with Digital’s Software License Transfer Policy in effect at the time of the license grant. 5. No Reverse Engineering Customer may not reverse compile, reverse assemble or otherwise reverse engineer software. 6. License Termination Digital may terminate any license granted hereunder if Customer breaches its obligation under these license terms. Upon termination Customer will destroy all copies of Software. 7. Record Keeping Customer will maintain adequate records to be able to control use of Software according to these license terms. There records will match the use of Software to license grants and will be made available to Digital or the third party developer or owner of the Software on reasonable price. 8. Third Party Software and Shrink Wrap Software In the case of Third Party Software which is subject to these license terms, the third party reserves the right to enforce these terms. 9. Authorization Keys The term “authorization key” includes any unique series of data elements that is to be installed and enabled in a license control utility to allow use of Software. 10. Electronic Documentation Unless otherwise specified Customer may print electronic Software documentation accompanying Software as reasonably necessary to exercise its right to use the Software.
